Welcome to Sendnow! These Terms and Conditions ("Terms") govern your access to and use of the Sendnow web application, website, and related services (collectively, the "Service") provided by sendnow ("Sendnow," "we," "us," or "our"). Our contact details are: contact@sendnow.live

Please read these Terms carefully before using the Service. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy [sendnow.live/privacy-policy]. If you do not agree to these Terms, you may not access or use the Service.

 

1. Description of Service

Sendnow provides a service that allows registered users ("Users," "you") to:

* Upload files including PDFs, documents (DOC, PPTX, etc.), Links and videos.

* Add links to existing online content.

* Generate shortened, shareable URLs ("Shortened Links") for the uploaded files or provided links.

* Access analytics regarding the engagement with the content shared via Shortened Links. Analytics features may include, but are not limited to, heat maps, overall session counts, unique visitors, bounce rates, viewer location, time spent, return user identification, video watch time, video seek/rewind data (collectively, "Analytics").

 

The availability of specific features, storage limits, file size limits, link limits, link expiry/retention periods, and analytics capabilities depend on the User's selected subscription plan, the details of which can be found on our Pricing Page: https://www.sendnow.live/ and are incorporated into these Terms by reference.

 

We reserve the right to modify or discontinue the Service (or any part thereof) with or without notice at any time.

 

2. User Accounts

* Registration: To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during registration and keep your account information updated.

* Security: You are responsible for safeguarding your account password and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.

* Eligibility: You must be at least 18 years old or the age of legal majority in your jurisdiction to use the Service.

 

3. Subscription Plans, Fees, and Payment

* Plans: Sendnow offers various subscription plans, including a Free Plan and paid plans (e.g., Basic, Pro, Enterprise) ("Subscription Plans"). Details of each plan, including features, limitations (such as link generation limits, link expiry/retention rules, file upload/size limits, storage limits, watermark application, custom domain availability, analytics feature access), and pricing are available on our Pricing Page [https://www.sendnow.live/] and are incorporated into these Terms by reference.

* Fees: Paid Subscription Plans require payment of fees ("Fees") as described on the Pricing Page. Fees are typically billed on a recurring basis (e.g., monthly) in advance.

* Payment: You agree to provide a valid payment method and authorize us (or our third-party payment processor) to charge your payment method for the Fees. All Fees are non-refundable except as required by law or explicitly stated otherwise.

* Taxes: You are responsible for all applicable taxes associated with your Subscription Plan.

* Renewals: Paid Subscription Plans will automatically renew for successive periods unless you cancel your subscription before the end of the current billing period.

* Cancellations: You may cancel your Subscription Plan at any time through your account settings. Cancellation will take effect at the end of the current billing period. Please refer to the Pricing Page or plan details regarding link retention/expiry after cancellation (e.g., Basic links remain active for 2 months post-cancellation, Pro links for 3 months).

* Changes: We reserve the right to change Subscription Plan features or Fees upon reasonable notice (e.g., via email or notification within the Service).

 

4. User Content

* Definition: "User Content" means any files, data, text, images, videos, links, or other materials that you upload, submit, store, send, or receive through the Service.

* Ownership: You retain full ownership of your User Content. We do not claim ownership over any of your User Content.

* License Grant: Solely for the purpose of operating, providing, improving, and securing the Service, you grant Sendnow a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, store, reproduce, modify (e.g., for formatting or technical purposes), communicate, publish (only if you share publicly), publicly display (based on your sharing settings), distribute, and process (e.g., to generate Analytics) your User Content.

* Responsibility: You are solely responsible for your User Content, including its legality, accuracy, reliability, and appropriateness. You represent and warrant that you have all necessary rights, licenses, and permissions to submit the User Content and grant the license above, and that your User Content does not violate any third-party rights or applicable laws.

* Prohibited Content: You agree not to upload or share User Content that: (i) is illegal, harmful, threatening, abusive, defamatory, obscene, infringing, or otherwise objectionable; (ii) violates any third party's intellectual property rights, privacy rights, or publicity rights; (iii) contains software viruses or any other harmful computer code; or (iv) promotes illegal activities. We reserve the right to remove or disable access to any User Content that violates these Terms.

 

5. Acceptable Use

You agree not to misuse the Service. For example, you must not:

* Probe, scan, or test the vulnerability of any system or network.

* Breach or otherwise circumvent any security or authentication measures.

* Access, tamper with, or use non-public areas of the Service.

* Interfere with or disrupt any user, host, or network (e.g., by sending a virus, overloading, flooding, spamming).

* Use the Service for any illegal or unauthorized purpose, including sending spam or unsolicited messages.

* Reverse engineer or attempt to extract the source code of the Service.

* Violate any applicable laws or regulations.

 

6. Intellectual Property

* Sendnow IP: The Service, including its software, visual interfaces, graphics, design, compilation, branding, logos, and all other elements, are and will remain the exclusive property of Sendnow and its licensors, protected by copyright, trademark, and other laws.

* Feedback: Any feedback, comments, or suggestions you may provide regarding Sendnow is entirely voluntary, and we will be free to use such feedback without any obligation to you.

 

7. Analytics Data

Sendnow provides Analytics based on the interactions of third parties with your shared User Content. You own the specific Analytics data related to your User Content, accessible through your account dashboard. Sendnow may aggregate and anonymize Analytics data across users for its own internal purposes, such as service improvement, trend analysis, and reporting, provided individual users or their content cannot be identified.

 

8. Privacy

Your privacy is important to us. Our collection and use of personal information in connection with the Service are described in our Privacy Policy [sendnow.live/privacy-policy].

 

9. Termination

* By You: You can terminate this agreement at any time by cancelling your Subscription Plan and ceasing to use the Service.

* By Sendnow: We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if you breach these Terms, for prolonged inactivity on a Free Plan, or if required by law.

* Effect of Termination: Upon termination, your right to use the Service will cease. We may delete your account and User Content according to our data retention policies and the specific rules applicable to your Subscription Plan regarding link expiry/retention (as detailed on the Pricing Page). Clauses intended to survive termination (e.g., Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law) will remain in effect.

 

10. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. SENDNOW DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

 

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SENDNOW, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF SENDNOW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

 

IN NO EVENT SHALL SENDNOW'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (I) THE TOTAL AMOUNT PAID BY YOU TO SENDNOW FOR THE SERVICE DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS ($100 USD) or its equivalent in INR.

 

12. Indemnification

You agree to defend, indemnify, and hold harmless Sendnow and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with (i) your access to or use of the Service; (ii) your User Content; or (iii) your violation of these Terms.

 

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India. 14. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the Service interface, by email to your registered email address, or other reasonable means. 15. Miscellaneous

* Entire Agreement: These Terms constitute the entire agreement between you and Sendnow regarding the Service and supersede all prior agreements.

* Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

* Waiver: Our failure to enforce any right or provision will not be considered a waiver of that right or provision.
